Corporate Associate (Greenberg Traurig, P.A., Fort Lauderdale, FL): Represent various healthcare practices & private equity firms in selling & acquiring businesses w/in the healthcare industry. Conduct legal research on healthcare laws, regs & policies & structure deals to comply w/ healthcare regs. Advise clients regarding regulatory compliance. Reqmts: JD, LLM or foreign equiv deg, + 2 yrs of exp in position offd or rltd occupation as an Attorney working on private equity transactions, venture capital transactions & mergers & acquisitions involving health care entities. Must have 2 yrs of exp advising clients in the health care, pharmaceutical, medical device & health insurance industries, performing all of the following: Participate in cross-border transactions & represent public companies in complex high-stakes transactions (deal sizes in the middle to upper markets); Advise private/public companies, private equity funds & fin'l institutions regarding M&A transactions w/in the healthcare industry; Draft Asset Purchase Agreements, Stock Purchase Agreements & Mgmt Svcs Agreements; Conduct extensive due diligence process; Conduct legal research on health care laws to ensure transactions are compliant w/ regs such as HIPAA & other patient privacy acts; & advise clients on policy and procedures in health care law including ethical stds & safety considerations.
