Job Description

PURPOSE OF ROLE:

Under the supervision of the Senior Corporate Counsel, this individual will provide efficient and practical contract management services to the in-house Legal department and Business Unit Managers. Basic responsibilities will include processing and negotiation of moderately complex requests for proposals, purchase and supply agreements, vendor agreements, and other transactional documents.

ESSENTIAL FUNCTIONS:

  • Manage the contract lifecycle from inception through execution.

  • Act as a primary point of contact between the Company and the counterparty for contractual matters on assigned projects.

  • Draft, negotiate, and amend routine contracts under the general guidance of the Senior Corporate Counsel.

  • Ensure contracts comply with Company risk management guidelines and escalate complex or risk-shifting issues appropriately.

  • Capture direction from Company attorneys and commercial managers in clear and concise contract language.

  • Organize and prioritize among a high volume of documents from a number of independent business units.

  • Develop a general understanding of the business’ needs and an appreciation of the legal and financial implications of various contract terms.

  • Perform related duties and responsibilities as required.

KNOWLEDGE / QUALIFICATIONS / SKILLS / EXPERIENCE

  • 3 or more years of experience in a similar role.

  • Bachelor’s degree

  • Knowledge of basic contracting concepts, including the Uniform Commercial Code and applicable law.

  • Exercise discretion and independent judgement while complying with corporate principles, policies, and guidelines.

  • Communicate effectively, both orally and in writing.

  • Proficient in Microsoft Office and Adobe applications.

  • Be detail oriented with strong analytical skills.

  • Have the ability to multi task and prioritize.

  • Be an initiative taker who proactively anticipates the Department’s and Company’s needs.

PHYSICAL REQUIREMENTS:

This job operates in a clerical office setting. This role routinely uses standard office equipment such as desks, computers, phones, photocopiers, scanners, and filing cabinets. The noise level in the work environment is usually moderate. While performing the duties of this job, the employee is regularly required to speak, read, or hear. This is largely a sedentary role; however, some filing is required.  This would require the ability to lift files, open filing cabinets and bend or stand on a stool as necessary
